Kailash Helicopter Services calls 3rd Annual General Meeting, proposes bonus shares and public issue


Kathmandu: Kailash Helicopter Services has called its third Annual General Meeting (AGM), with the company’s Board of Directors deciding at a meeting held on December 21 to convene the AGM on Poush 28 (January 12).

The board has decided to table a special proposal at the AGM to distribute bonus shares equivalent to 10 percent of the company’s paid-up capital.

In addition, the company will seek shareholder approval to issue shares to the general public. Under the proposal, Kailash Helicopter Services plans to float 20 percent of its paid-up capital—equivalent to Rs 1 billion—by issuing 1 million ordinary shares to the public.

The AGM will also consider a proposal to distribute a cash dividend of Rs 63 million, which amounts to 20 percent of the paid-up capital, for the fiscal year 2024/25. The cash dividend includes the amount required to meet tax obligations.

Other agenda items include discussion and approval of the Board of Directors’ annual report for fiscal year 2024/25, consideration and endorsement of the company’s balance sheet as of mid-July 2025, along with the profit and loss account and cash flow statement for the same period, based on the auditor’s report.

The meeting will also propose the appointment of an external auditor for the fiscal year 2025/26 and the determination of the auditor’s remuneration, in line with the provisions of the Companies Act.
